Terms of Service

Effective September 16, 2026 · PMOmentum, Inc., a Delaware corporation

1. Agreement

These Terms govern your use of PMOmentum (the “Service”), provided by PMOmentum, Inc. (“PMOmentum,” “we,” “us”). By creating an account or using the Service you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

2. The Service

PMOmentum is a project-management workspace for supply chain teams with AI-assisted features: it extracts structured items from your content, drafts communications and reports, and produces assessments such as go-live confidence scores and schedule forecasts. AI outputs are decision support, not professional advice — you are responsible for reviewing them before acting on or sending them. Nothing is sent externally on your behalf without a human action or an automation setting you have explicitly enabled.

3. Accounts & workspaces

You must provide accurate account information and keep your credentials secure. A workspace (organization) is controlled by its owner and admins, who manage members, seats, and settings. You are responsible for activity under your account.

4. Subscriptions, billing & trials

Paid plans are billed in advance, monthly or annually, per the pricing shown at purchase. Self-serve payments are processed by Stripe; we do not store your card details. Trials convert to paid only when you purchase. You may cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law. We may change pricing with at least 30 days' notice, effective at your next renewal. Seat limits are enforced per plan.

5. Your content

You retain all rights to the content you submit — projects, documents, transcripts, files, and data (“Customer Content”). You grant us a limited license to host and process Customer Content solely to provide and support the Service. We do not sell Customer Content and we do not use it to train AI models. Workspace data is isolated per organization.

6. AI processing

AI features are powered by third-party model providers (currently Anthropic and OpenAI) acting as subprocessors. Relevant Customer Content is transmitted to them to perform the requested processing, under API terms that do not permit them to train their models on it. AI outputs may contain errors; review before relying on them.

7. Acceptable use

Don't misuse the Service: no unlawful content or use, no attempts to breach security or access other tenants' data, no reselling the Service, no abusive load, and no uploading content you lack rights to. We may suspend accounts that endanger the Service or other customers, with notice where practicable.

8. Our IP

The Service, including its software, design, and the PMOmentum knowledge corpus, is our intellectual property. These Terms grant you a subscription-term right to use it and no other rights.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROJECT OUTCOMES REMAIN YOUR RESPONSIBILITY.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, AND OUR TOTAL LIABILITY ARISING OUT OF THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.

11. Termination

You may stop using the Service and cancel at any time. We may terminate for material breach that remains uncured 30 days after notice, or immediately for violations of Section 7. After termination we will make your Customer Content available for export for 30 days, then delete it in the ordinary course.

12. General

These Terms are governed by Delaware law. We may update these Terms; material changes will be notified in-app or by email at least 14 days before taking effect. If any provision is unenforceable, the rest remain in effect. Questions: melinda@getpmomentum.com.
